Terms of Service

1. Definitions

In these Terms of Service ("Terms"), the following definitions apply unless the context requires otherwise:

  • "PayFence", "we", "us", or "our" refers to PayFence, Inc., the company that operates the PayFence platform.
  • "Service" means the PayFence platform, including the web application at app.payfence.io, all associated APIs, proxy services, middleware SDKs, documentation, and any related services provided by PayFence.
  • "User", "you", or "your" refers to any individual or entity that accesses or uses the Service.
  • "Site" refers to an API or MCP tool endpoint registered within PayFence by a User for the purpose of monetization and access control.
  • "Plan" means a pricing tier created by a User within PayFence, defining request quotas, pricing, and billing intervals for access to a Site.
  • "Token" means a unique API key issued by PayFence to an end customer upon subscription to a Plan.
  • "End Customer" means a third party who subscribes to a Plan and accesses a Site through PayFence using a Token.
  • "Content" means any data, text, code, or other material transmitted through the Service.

2. Service Description

PayFence provides a request-layer paywall and quota gateway for API and MCP tool endpoints. The Service enables Users to monetize access to their APIs by creating Plans with defined pricing and request quotas, issuing Tokens to End Customers, and enforcing access policies in real time.

PayFence operates as either a reverse-proxy gateway or an in-process middleware SDK. In both modes, PayFence inspects request metadata (such as headers, URL paths, and query parameters) to make allow-or-deny decisions. PayFence does not inspect, store, or modify request or response bodies unless explicitly configured by the User.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make commercially reasonable efforts to provide advance notice of material changes that affect your use of the Service.

3. Account Registration

To use certain features of the Service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information during registration and keep your account information up to date.
  • Maintain the confidentiality of your account credentials, including your password and any API keys or tokens associated with your account.
  • Accept responsibility for all activities that occur under your account, whether or not authorized by you.
  • Notify us immediately at support@payfence.io if you become aware of any unauthorized use of your account or any other breach of security.

You must be at least 18 years of age or the age of legal majority in your jurisdiction to create an account. By creating an account, you represent and warrant that you meet this requirement. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or remain inactive for an extended period of time.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You may not use the Service to:

  • Violate any applicable local, state, national, or international law or regulation, including without limitation any laws regarding the export of data or software.
  • Transmit or facilitate the transmission of any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
  • Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service through hacking, password mining, or any other means.
  • Interfere with or disrupt the Service or servers or networks connected to the Service, including by transmitting any worms, viruses, spyware, malware, or any other code of a destructive or disruptive nature.
  • Use the Service to send unsolicited communications, promotions, advertisements, or spam, or to harvest or collect email addresses or other personal information of other users.
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Use the Service to circumvent or attempt to circumvent any security measures, rate limits, or access controls implemented by PayFence or by other Users of the Service.
  • Resell, sublicense, or redistribute the Service or any portion thereof without our prior written consent.

We reserve the right to investigate and take appropriate action, including suspension or termination of your account, if we reasonably believe you have violated these restrictions.

5. Payment Terms

Certain features of the Service require payment. By subscribing to a paid plan or using paid features, you agree to the following:

  • Billing. All fees are billed in advance on a recurring basis (monthly or annually, depending on the plan you select) unless otherwise stated. You authorize us to charge your designated payment method for all applicable fees.
  • Payment Processing. All payments are processed through Stripe, Inc. Your use of Stripe's payment services is subject to the Stripe Services Agreement. We do not store your full credit card information on our servers.
  • Platform Fees. PayFence charges a platform fee on transactions processed through the Service between Users and their End Customers. The applicable fee rate will be displayed in your dashboard and may vary by plan tier.
  • Taxes. All fees are exclusive of taxes. You are responsible for paying all applicable taxes, including sales tax, VAT, and similar assessments, except taxes based on PayFence's net income.
  • Refunds. Fees are generally non-refundable except as required by law or as expressly stated in a separate agreement. If you believe you have been charged in error, contact us at support@payfence.io within 30 days of the charge.
  • Price Changes. We may change our fees at any time. If you are on a recurring plan, we will provide at least 30 days' notice before any price increase takes effect for your next billing cycle.

Failure to pay applicable fees may result in suspension or termination of your access to the Service. Outstanding balances may be referred to a collection agency.

6. Intellectual Property

Our Property. The Service, including all software, code, design, text, graphics, logos, and other content provided by PayFence, is owned by PayFence or its licensors and is protected by copyright, trademark, patent, and other intellectual property laws. These Terms do not grant you any right, title, or interest in or to the Service or any PayFence intellectual property, except for the limited license to use the Service as described herein.

Your Content. You retain all rights to the Content you transmit through the Service. By using the Service, you grant PayFence a limited, non-exclusive, worldwide, royalty-free license to process, transmit, and temporarily store your Content solely as necessary to provide and improve the Service. We do not claim ownership of your Content.

Feedback. If you provide us with any feedback, suggestions, or ideas regarding the Service, you grant PayFence a perpetual, irrevocable, non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and incorporate such feedback into the Service without obligation or compensation to you.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PAYFENCE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF PAYFENCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PAYFENCE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO PAYFENCE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PAYFENCE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

8. Indemnification

You agree to indemnify, defend, and hold harmless PayFence, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of or access to the Service.
  • Your violation of these Terms.
  • Your violation of any rights of a third party, including intellectual property rights, privacy rights, or contractual rights.
  • Any Content or data you transmit through the Service.
  • Any dispute between you and your End Customers arising from your use of the Service to manage access to your APIs.

PayFence reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

9. Termination

By You. You may terminate your account at any time by contacting us at support@payfence.io or through the account settings in the dashboard. Upon termination, your right to use the Service will cease immediately.

By Us. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to: violation of these Terms, non-payment of fees, fraudulent or abusive activity, or if we reasonably believe your use of the Service poses a risk to PayFence, its users, or third parties.

Effect of Termination. Upon termination, all licenses and rights granted to you under these Terms will immediately cease. You remain liable for any fees incurred prior to termination. Sections of these Terms that by their nature should survive termination (including, without limitation, Sections 6, 7, 8, and 10) shall survive.

Data After Termination. Following termination, we may delete your account data within 30 days. We are not obligated to maintain or provide any Content or data after termination, and we shall have no liability to you for any deletion of data.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of such courts.

Dispute Resolution. Before filing any legal action, you agree to attempt to resolve any dispute informally by contacting us at support@payfence.io. We will attempt to resolve the dispute informally within 30 days. If the dispute is not resolved informally, either party may proceed with formal legal proceedings as described above.

Class Action Waiver. TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

11. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Service and updating the "Last updated" date at the top of this page. We may also provide additional notice, such as an email notification or an in-app announcement, at our discretion.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and terminate your account.

We encourage you to review these Terms periodically to stay informed about our practices and your rights and obligations.
